PROGRAM DESCRIPTION:

Acquisitions are one of the most ambitious business undertakings of senior executives. They present significant opportunities and risks for companies and their CFOs. Acquisitions can present daunting challenges in terms of determining potential value, required investments levels and how to mitigate the risks to the investment made. These challenges include:

 

  • Approaches for identifying and assessing areas of potential value;
  • Going beyond a market-based view of a target acquisition and determining the “strategic fit” and intrinsic value to the acquirer;
  • The potential impacts on revenue, new products, innovation gained;
  • The acquirer’s ability to realize cost synergies; and
  • Possible changes in overall business risks and cultural fit.

ABOUT THE SPEAKERS:  

Joe Whalen, M&A and Alliances, Horizon

Mr. Whalen has more than 25 years of experience in the healthcare industry leading and supporting transactions involving licensing, acquisitions, and strategic alliances. Mr. Whalen joined Horizon in April of 2010 and has led or supported many of Horizon’s acquisitions since that time helping to grow Horizon from a company with around 20 employees and no sales to over 1,100 employees and over $1.2 billion in net sales. Transactions he led include Horizon’s acquisition of Crealta Holdings LLC for $510 million, PENNSAID® 2% for $45 million and VIMOVO® for $35 million. He also led the divestiture of the RAVICTI® and AMMONAPS® business outside of North America and Japan for $35 million and the out-licensing of LODOTRA® and DUEXIS® ex-U.S. He has supported Horizon’s IPO and other fund-raising activities which total over $3 billion.

Prior to Horizon, he was at Baxter Healthcare where he led and supported a number of transactions as part of Baxter’s Medication Delivery business. Mr. Whalen worked at Searle prior to Baxter where his experience included various finance roles supporting business development, European operations, U.S. marketing, and R&D.

He earned an MBA from the University of Illinois and bachelor’s degree from the University of Notre Dame.

David Zwick, CFO, Transworld Systems, Inc.

David Zwick is the Chief Financial Officer of Transworld Systems Inc. (“TSI”). David has over 25 years of experience in investment banking, merchant banking, finance and accounting. Prior to TSI, Mr. Zwick was the Chief Financial Officer of Hilco Trading, LLC, a financial services company where he was a member of the Investment Committee and executive management team. He worked closely with the CEOs of Hilco’s business units and portfolio companies on financial and strategic matters. Previously, David was an investment banker at Lehman Brothers and Barclays Capital. Mr. Zwick earned a bachelor’s degree (with honors) in finance from the University of Illinois and a master’s degree in business administration from Northwestern University’s J.L. Kellogg School of Management. Mr. Zwick is also a Certified Public Accountant.

Joe Feldman, President, Feldman Associates

Joe is the President of Joseph Feldman Associates, a corporate development consultancy founded in 2003. Joseph Feldman Associates provides acquisitions and other strategic transaction consulting for growing companies and their investors. Joe serves as on the boards of Southern Seasonings and Chicago Capital Partners and is an Advisor to Evanston Partners. He is a Board member of Chicago Lights, Board President of Warming House Youth Center and past chairman of the Wilmette Youth Commission. Joe has held leadership roles for Sandbox Industries, Chromatin, First Genetic Trust, Searle Pharmaceuticals, Monsanto and The NutraSweet Company, as well as serving on the boards of CES Optical, Morgan Street Document Systems, and XTEND.

Chad Zoretic, Managing Director, National Transaction & Advisory Services Lead, Armanino LLP

Chad is an experienced financial professional advising clients in both preparing companies for sale or assisting with the purchase of companies, in either a private equity or strategic arena.
